Welcome to Authority Media Placement (“we,” “us,” or “the Marketplace”). These Terms of Service (“Terms”) govern your access to and use of [SITE URL] (the “Site”) and the services offered through it. By creating an account, listing a site, or placing an order, you agree to these Terms.
1. What This Marketplace Does
[SITE NAME] connects Advertisers (buyers seeking guest post placements) with Publishers (website owners offering guest post placements) and facilitates orders, payment handling, and communication between the two parties.
We are a marketplace and communications platform. We are not a party to the content agreement between an Advertiser and a Publisher, and we do not guarantee search engine rankings, traffic, or any specific SEO outcome from any placement.
2. Accounts
- You must provide accurate, current information when registering.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- We may suspend or terminate accounts that violate these Terms, engage in fraud, or attempt to circumvent the platform (e.g., arranging payment outside the Marketplace to avoid fees).
3. Publisher Listings
By listing a site on the Marketplace, you represent that:
- You own or have authorization to sell placements on the listed site.
- Traffic, domain authority, and other metrics you provide are accurate to the best of your knowledge and not artificially inflated.
- You will deliver ordered placements within the turnaround time stated on your listing.
- Content you publish will not be removed or hidden (e.g., via noindex or paywall) for a minimum retention period of [X months/years] from the order, except for content that violates law or your own editorial policy as disclosed at time of listing.
We reserve the right to review, reject, or remove any listing that appears fraudulent, misleading, or that violates these Terms.
4. Placing Orders
- An Advertiser places an order by selecting a listing and submitting payment through the Marketplace.
- Order details (anchor text, target URL, content requirements) must be provided in accordance with the Publisher’s stated guidelines.
- Content submitted for placement must not include illegal material, malware, deceptive claims, or content prohibited under the Publisher’s stated niche/content policy.
5. Payments and Escrow-Style Holding
- Funds for an order are collected at checkout and held by the Marketplace until the placement is confirmed live and matches the agreed order details.
- Upon confirmation, funds (less the Marketplace’s service fee) are released to the Publisher.
- If a Publisher fails to deliver within the agreed turnaround window, the Advertiser may request a refund in accordance with our refund policy (Section 6).
- The Marketplace’s service fee is disclosed at checkout and is non-refundable once an order is fulfilled.
6. Refunds and Disputes
- Advertisers may request a refund if a Publisher fails to deliver the agreed placement within the stated turnaround time, plus a grace period of [X days].
- If a placement is delivered but does not match the agreed order details (wrong anchor text, wrong URL, content altered without consent), the Advertiser may open a dispute within [X days] of delivery.
- We will review disputed orders and make a determination in good faith. Our decision on fund release is final for purposes of the Marketplace, though it does not limit either party’s other legal rights.
7. Fees
Current Marketplace service fees are disclosed at checkout and/or on our [Pricing/Fees page]. We may change our fee structure with notice; changes will not apply to orders placed before the change takes effect.
8. Prohibited Conduct
You may not use the Marketplace to:
- Circumvent the platform to transact directly and avoid fees, after being introduced through the Marketplace.
- List or order placements involving illegal content, malware, phishing, or deceptive financial products.
- Submit fraudulent traffic, reviews, or metrics.
- Harass, threaten, or abuse other users or our staff.
Violation may result in suspension, order cancellation, and forfeiture of pending payouts tied to the violation.
9. Intellectual Property
Advertisers retain ownership of content they submit, subject to the license needed for the Publisher to publish it. Publishers retain ownership of their sites and existing content. Nothing in these Terms transfers ownership of the Marketplace’s own branding, software, or platform content to users.
10. Disclaimers
The Marketplace is provided “as is.” We do not guarantee any specific SEO result, search ranking, or traffic increase from any placement. We do not guarantee the accuracy of metrics self-reported by Publishers, though we take reasonable steps to review listings.
11. Limitation of Liability
To the maximum extent permitted by law, [SITE NAME] and its owners/operators are not liable for indirect, incidental, or consequential damages arising from use of the Marketplace, including lost profits, lost rankings, or lost traffic. Our total liability for any claim is limited to the amount of fees paid by you in the [X months] preceding the claim.
12. Termination
We may suspend or terminate your access to the Marketplace at our discretion, including for violation of these Terms. You may close your account at any time; open orders will be settled according to Sections 5–6 before final account closure.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Marketplace after changes take effect constitutes acceptance of the revised Terms.
